Herbology Hub is a registered Australian business offering an online educational membership platform focused on medicinal herb cultivation. Our website and all information, content, courses, webinars, and services available through this site are offered to you, the user, on the condition that you accept all terms, conditions, policies and notices stated here.

By visiting our site and/or purchasing access to our services, you engage in our "Service" and agree to be bound by the following terms and conditions ("Terms of Service", "Terms"), including those additional terms and conditions and policies referenced here or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, members, customers, and contributors of content.

Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. Our membership platform is hosted by Magnify Hub, which provides the online infrastructure that allows us to deliver our educational services to you.

SECTION 1 - MEMBERSHIP TERMS

By agreeing to these Terms of Service, you confirm that you are at least 18 years of age, or that you have obtained the consent of a parent or legal guardian to access and use this site and its services.

Herbology Hub offers an online educational membership providing access to medicinal herb cultivation content, including live webinars, recorded sessions, courses, and related educational materials. Access to membership content is granted on a subscription basis, with terms as described at the point of purchase.

By becoming a member, you agree to the following:

Your membership is for your personal use only. You may not share your login credentials, provide access to others, or use your membership for any commercial training or resale purpose without our express written permission.

Membership access is provided on a recurring subscription basis. Your subscription will renew automatically at the end of each billing period unless you cancel prior to the renewal date. It is your responsibility to manage your subscription and cancellation through your account settings or by contacting us directly at [email protected].

Upon cancellation, your access to membership content will continue until the end of the current paid billing period. No partial refunds are provided for unused time within a billing period, except where required under Australian Consumer Law.

We reserve the right to suspend or terminate your membership if you breach any of these Terms of Service. In the event of termination due to a breach, no refund will be provided, except where required by law.

You may not use our services for any unlawful or unauthorised purpose, nor may you violate any laws in your jurisdiction, including but not limited to copyright and intellectual property laws.

You must not transmit any viruses, malicious code, or any content of a destructive nature through our platform.

Your use of our educational content does not grant you any ownership of that content. All materials remain the intellectual property of Herbology Hub. This is covered in full in Section 8 of these Terms.

SECTION 2 - GENERAL CONDITIONS

We reserve the right to refuse access to our services to anyone, for any reason, at any time.

You understand that your content and information (not including payment card information) may be transferred unencrypted and may involve (a) transmissions over various networks and (b) changes to conform and adapt to the technical requirements of connecting networks or devices. Payment card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell, distribute, or exploit any portion of our service, our content, or access to our platform without our express written permission. This includes but is not limited to webinar recordings, course materials, written content, and any other educational resources made available through your membership.

You are responsible for maintaining the confidentiality of your account login credentials. You agree to notify us immediately at [email protected] if you become aware of any unauthorised use of your account.

We are not responsible for any loss or damage arising from your failure to maintain the security of your account credentials.

We operate as an educational platform. Nothing in our content, courses, webinars, or other materials constitutes medical advice, diagnosis, or treatment. All content is provided for educational purposes only. You are responsible for making your own informed decisions regarding the application of any information provided through our services.

The headings used in this agreement are included for convenience only and do not limit or otherwise affect these Terms.

SECTION 4 - MEMBERSHIP PRICING AND SERVICE MODIFICATIONS

Membership pricing is reviewed periodically and is subject to change. Where we intend to change the price of an ongoing membership subscription, we will provide you with reasonable notice prior to the change taking effect. This notice will be delivered via email to the address associated with your account. Your continued membership following the effective date of a price change constitutes your acceptance of the new pricing.

If you do not wish to continue your membership at the revised price, you may cancel your subscription before the new pricing takes effect.

We reserve the right to modify, suspend, or discontinue any part of our service, including specific content, webinar schedules, course availability, or platform features, at any time. Where changes are significant, we will make reasonable efforts to notify members in advance.

We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the service, except where we are required to provide a remedy under Australian Consumer Law.

From time to time we may offer promotional pricing, early access offers, or special membership rates. These offers are subject to their own specific terms and are available for the period stated at the time of the offer. Promotional pricing does not carry over to subsequent billing periods unless expressly stated.

SECTION 5 - EDUCATIONAL CONTENT AND SERVICES

Herbology Hub provides online educational content focused on medicinal herb cultivation. Our services include, but are not limited to, live webinars, recorded webinar sessions, topic-based courses, written educational materials, and Q&A sessions delivered through our membership platform.

All content is developed from practical, hands-on growing experience and is intended to support your learning and development as a medicinal herb grower. Content is provided in good faith and reflects knowledge and methods tested in real growing conditions. It is not intended to replace professional horticultural, medical, or naturopathic advice.

Access to content

Access to membership content is provided for the duration of your active subscription. Upon cancellation or termination of your membership, access to content, including recorded sessions and course materials, will cease at the end of your current billing period. We do not guarantee ongoing access to any specific piece of content beyond your active membership period.

We reserve the right to add, remove, or modify content within the membership at any time. Where content is removed or significantly changed, we will make reasonable efforts to notify members. The removal or modification of individual content items does not constitute grounds for a refund, provided the overall service continues to deliver reasonable educational value.

Live webinars and recorded sessions

Live webinar sessions are scheduled in advance and details are communicated to members through our platform and email communications. We make every reasonable effort to deliver sessions as scheduled. In circumstances beyond our control, sessions may be rescheduled or cancelled. Where a session is cancelled and not rescheduled within a reasonable timeframe, affected members will be notified.

Webinar recordings are made available to members following each live session, subject to any technical limitations. Access to recordings is provided as a convenience and does not form part of the core service guarantee.

You may not record, reproduce, share, or distribute any live or recorded webinar content without our express written permission. This applies regardless of the format or platform through which the content is accessed.

Educational disclaimer

All content provided through Herbology Hub is educational in nature. It does not constitute medical advice, a diagnosis, or a recommendation to treat any health condition. Information about medicinal plants is shared for cultivation and educational purposes only. You are responsible for seeking appropriate professional advice before making any decisions relating to your health, the health of others, or the commercial application of any information provided through our services.

Results from applying cultivation methods described in our content will vary depending on your location, climate, soil conditions, seed source, and growing practices. We do not guarantee specific outcomes.

SECTION 6 - BILLING, ACCOUNT INFORMATION AND PAYMENT

By purchasing a Herbology Hub membership, you agree to provide current, complete, and accurate billing and account information. You agree to promptly update your account details, including your email address and payment information, to ensure uninterrupted access to your membership and to allow us to contact you as needed.

Recurring billing

Your membership subscription is billed on a recurring basis, either monthly or annually, depending on the plan selected at the time of purchase. By completing your purchase, you authorise Herbology Hub to charge your nominated payment method at the start of each billing period until your subscription is cancelled.

It is your responsibility to ensure that your payment method remains valid and has sufficient funds to cover your subscription renewal. If a payment fails, we will make reasonable attempts to notify you via the email address associated with your account. Where payment cannot be processed after reasonable attempts, we reserve the right to suspend or cancel your membership until payment is resolved.

Failed payments

If your payment is declined or fails for any reason, access to your membership may be suspended until the outstanding amount is settled. We are not liable for any loss of access to content resulting from a failed payment where reasonable notice has been provided.

Refunds and cancellations

Our refund and cancellation policy is outlined in full in Section 7 of these Terms. Nothing in this section limits your rights under Australian Consumer Law.

Disputes

If you believe you have been incorrectly charged, please contact us promptly at [email protected]. We will investigate and respond within a reasonable timeframe. Initiating a payment dispute or chargeback with your bank or payment provider without first contacting us may result in the suspension of your account while the matter is investigated.

Payment processing

Payments are processed securely through our platform provider. Herbology Hub does not store your full payment card details. All payment transactions are encrypted and handled in accordance with applicable payment security standards. For questions about payment security, please refer to our Privacy Policy.

Account responsibility

You are responsible for all activity that occurs under your account. If you become aware of any unauthorised use of your account or billing details, you must notify us immediately at [email protected].

SECTION 7 - REFUNDS, CANCELLATIONS AND CONSUMER GUARANTEES

Your rights under Australian Consumer Law

Herbology Hub's services are covered by the Australian Consumer Law (ACL), which forms Schedule 2 of the Competition and Consumer Act 2010 (Cth). Under the ACL, you are entitled to certain consumer guarantees that cannot be excluded, restricted, or modified. Nothing in these Terms of Service limits, excludes, or modifies any right or remedy you have under the ACL.

Under the ACL, you are entitled to a refund or other remedy if our service:

       Has a major failure that was not disclosed to you before purchase, such that you would not have purchased the service had you known about the failure.

       Is not fit for the purpose we described or that you made known to us before purchase.

       Is not delivered with due care and skill.

       Does not match the description provided at the point of sale.

Where a major failure occurs, you may choose a refund, a replacement service of equivalent value, or compensation for the reduction in value of the service. Where a failure is minor and can be remedied, we will do so within a reasonable time. If we fail to remedy a minor failure within a reasonable time, you may seek a refund or compensation.

Cancellation by you

You may cancel your membership at any time through your account settings or by contacting us at [email protected]. Cancellation requests should be submitted before your next billing date to avoid being charged for the following period.

Upon cancellation, your membership access will continue until the end of your current paid billing period. You will not be charged for subsequent periods following cancellation. We do not provide partial refunds for unused time remaining within a current billing period, except where required under the ACL.

Change of mind

We do not offer refunds for change of mind once access to membership content has been provided. We encourage you to review all available information about our membership, including free content, sample webinar excerpts, and our newsletter, before purchasing. Cancellation by us

We reserve the right to cancel or suspend your membership if you breach these Terms of Service. In the event of cancellation due to a breach, no refund will be provided for the remaining billing period, except where required by the ACL.

Where we cancel your membership for reasons other than a breach on your part, we will provide a pro-rata refund for the unused portion of your current billing period.

Service interruptions

Where a significant and unplanned interruption to our service occurs that prevents you from accessing membership content for an extended period, we will make reasonable efforts to remedy the interruption promptly. If the interruption cannot be remedied within a reasonable timeframe, affected members will be offered a remedy consistent with their ACL consumer guarantee entitlements.

Annual memberships

If you have purchased an annual membership and wish to cancel before the end of the annual period, please contact us at [email protected] to discuss your options. Refunds for annual memberships will be considered on a case by case basis, taking into account the content accessed, the time elapsed, and your ACL consumer guarantee entitlements. We will always act reasonably and in good faith in these circumstances.

How to request a refund

To request a refund or raise a concern about our service, please contact us at [email protected] with your account details and a description of the issue. We aim to respond to all refund requests within five business days. Where a refund is approved, it will be processed to your original payment method within a reasonable timeframe, subject to your bank or payment provider's processing times.

SECTION 8 - INTELLECTUAL PROPERTY

All content made available through the Herbology Hub website and membership platform is the intellectual property of Herbology Hub, unless otherwise stated. This includes but is not limited to:

       Live and recorded webinar sessions and any excerpts thereof.

       Topic-based courses and course materials.

       Written educational content, guides, and articles.

       Images, graphics, and visual content created by or for Herbology Hub.

       The Herbology Hub name, logo, and brand identity.

       Educational frameworks, methodologies, and curriculum developed by Herbology Hub.

All intellectual property rights in the above materials are owned by or licensed to Herbology Hub and are protected under Australian copyright law, including the Copyright Act 1968 (Cth), and applicable international copyright conventions.

What your membership grants you

Your membership grants you a limited, personal, non-transferable, non-exclusive licence to access and use our educational content for your own personal learning purposes during the period of your active membership. This licence does not transfer any ownership of the content to you.

What your membership does not grant you

Your membership does not grant you the right to:

       Copy, reproduce, or duplicate any content from our platform in any format, whether digital or print, without our express written permission.

       Share, distribute, upload, or transmit any membership content to any third party, including through social media, file sharing platforms, email, or any other means.

       Use any content from our platform for commercial purposes, including but not limited to delivering paid training, workshops, or courses based on our materials.

       Record any live webinar session without our express written prior permission.

       Modify, adapt, or create derivative works based on our content without our express written permission.

       Remove or alter any copyright notices, watermarks, or attribution included in our materials.

Referencing our content

Where you wish to reference, quote, or link to our content for personal, non-commercial purposes, you must clearly attribute the material to Herbology Hub. For any other use, please contact us at [email protected] to discuss your requirements. We are happy to consider reasonable requests.

Reporting infringement

If you become aware of any unauthorised use of our content, we would appreciate you letting us know by contacting us at [email protected]. Protecting the integrity of our educational materials allows us to continue delivering quality content to our members.

Your content

Where you submit content to our platform, including comments, questions, or contributions to discussions, you retain ownership of that content. Our membership platform is hosted and operated through Magnify Hub. By using our membership services, you acknowledge that certain aspects of service delivery, including content hosting, account management, and payment processing, are facilitated through Magnify Hub's infrastructure. Herbology Hub remains responsible for the educational content and services we deliver through the platform. For matters relating specifically to platform infrastructure and data handling, Magnify Hub's own terms and privacy policy may also apply.

From time to time we may recommend books, suppliers, seed sources, tools, or other resources that we have found useful in our own growing practice. Any such recommendation reflects our genuine experience and opinion. We do not accept payment or incentives to recommend third-party products or services. We do not warrant the quality, availability, or suitability of any recommended third-party product or service. Any purchase or engagement you make with a recommended third party is your own decision and is undertaken at your own risk.

       Posting or transmitting content that is offensive, obscene, defamatory, misleading, or otherwise objectionable, as determined at our reasonable discretion.

       Impersonating any person or entity, or misrepresenting your affiliation with any person or entity, in connection with your use of our services.

Content and platform misuse

       Recording, reproducing, sharing, uploading, or distributing any webinar session, course material, written content, or any other material accessed through your membership, without our express written permission.

       Using membership content to develop, deliver, or sell your own courses, training programmes, workshops, or educational materials without our express written permission.

       Sharing your membership login credentials with any other person, or allowing any other person to access our platform using your account.

       Scraping, crawling, or using any automated means to access, collect, or copy content from our website or membership platform.

       Uploading or transmitting viruses, malicious code, or any content of a destructive or disruptive nature that may affect the operation of our platform, our website, or the experience of other members.

       Attempting to gain unauthorised access to any part of our platform, our servers, or any system or network connected to our services.

Misleading conduct

       Submitting false, misleading, or fraudulent information in connection with your account, a purchase, or any communication with us.

       Using a false identity or false contact details to create an account or engage with our services.

       Making false or misleading claims about Herbology Hub, our content, our services, or our staff in any public forum, review platform, or social media channel.

Consequences of prohibited use

We reserve the right to investigate any suspected breach of this section and to take whatever action we consider appropriate in the circumstances. This may include issuing a warning, suspending your account, terminating your membership without refund where a serious breach has occurred, and where required, referring the matter to appropriate authorities.

Where a membership is terminated due to a breach of this section, we will notify you of the reason for termination. Termination does not release you from any obligations or liabilities incurred prior to the date of termination.

Nothing in this section limits your rights under Australian Consumer Law.

SECTION 13 - DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

Educational nature of our services

Herbology Hub provides an online educational membership service. All content, including webinars, recorded sessions, courses, written materials, and Q&A responses, is provided for educational purposes only. Nothing in our content constitutes professional horticultural advice, medical advice, naturopathic advice, or any other form of regulated professional advice. You are responsible for making your own informed decisions about the application of any information accessed through our services, and for seeking appropriate professional advice where required.

No guarantee of results

Medicinal herb cultivation involves a wide range of variables including climate, soil conditions, water quality, seed source, pest and disease pressure, and individual growing practices, all of which are beyond our control. While our content is developed from extensive practical experience and shared in good faith, we cannot and do not guarantee that applying the information provided through our services will produce specific results in your growing situation. Results will vary between individuals, locations, and seasons.

Service availability

We make every reasonable effort to ensure that our membership platform and its content are available to you consistently and without interruption. However, we do not warrant that our service will be uninterrupted, timely, secure, or error-free at all times. Scheduled maintenance, technical issues, third-party platform outages, or circumstances beyond our control may occasionally affect service availability. Where a significant disruption occurs, we will make reasonable efforts to notify members and restore service promptly.

Disclaimer of warranties

To the maximum extent permitted by Australian law, and subject to your rights under Australian Consumer Law, our services and all content delivered through our platform are provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, regarding the suitability, reliability, accuracy, or completeness of our content or services for your particular purpose, beyond those warranties that cannot be excluded under the Australian Consumer Law.

We do not warrant that:

       Our content will be free from errors, inaccuracies, or omissions at all times.

       Our platform will be compatible with all devices, browsers, or operating systems.

       Any specific outcome or result will be achieved by applying our educational content.

       Third-party tools, links, or integrations accessible through our platform will be available, accurate, or fit for purpose.

Limitation of liability

To the maximum extent permitted by Australian law, and subject always to your rights under Australian Consumer Law, Herbology Hub, its directors, employees, contractors, agents, and service providers will not be liable for any loss or damage of any kind arising from or in connection with your use of our services or content. This includes but is not limited to:

       Direct, indirect, incidental, consequential, or punitive damages.

       Loss of profits, revenue, data, or business opportunity.

       Costs incurred as a result of applying information accessed through our membership.

       Loss or damage to crops, plants, or property arising from the application of cultivation methods described in our content.

       Any interruption to or unavailability of our service.

Australian Consumer Law

Nothing in this section excludes, restricts, or modifies any consumer guarantee, right, or remedy that you are entitled to under the Australian Consumer Law or any other applicable Australian legislation that cannot lawfully be excluded. Where our liability cannot be excluded under the Australian Consumer Law, our liability is limited, to the extent permitted by law, to resupplying the relevant service or paying the cost of having the service resupplied.

Where our services are acquired for personal, domestic, or household use, the consumer guarantees under the Australian Consumer Law apply in full and cannot be excluded by anything in these Terms of Service.

Indemnification

By using our services, you agree to indemnify, defend, and hold harmless Herbology Hub, its directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising from or in connection with:

       Your breach of these Terms of Service.

       Your use of our platform or content in a manner not permitted by these Terms.

       Any content you submit, post, or transmit through our platform.

       Your violation of any applicable law or the rights of any third party.

This indemnification obligation survives the termination of your membership and these Terms of Service.

SECTION 14 - MEMBER CONDUCT AND COMMUNITY STANDARDS

Our learning community

Herbology Hub is more than a content library. It is an active learning community where members engage with each other and with us through live webinars, Q&A sessions, platform discussions, and other interactive elements of the membership. The quality of that experience depends on every member contributing in a way that is respectful, honest, and constructive.

By becoming a member, you agree to engage with our community in accordance with the standards set out in this section.

Expected conduct

We ask all members to:

       Engage with others respectfully and in good faith, regardless of their level of experience or background.

       Ask questions and share observations honestly, even where you are uncertain or have made mistakes in your growing practice. This is a learning environment and there are no foolish questions.

       Respect the expertise and experience of other members and contributors, even where opinions or approaches differ.

       Keep discussion relevant to the educational focus of the membership, which is the cultivation and stewardship of medicinal herbs.

       Respect the privacy of other members by not sharing personal information disclosed within the community outside of the platform without consent.

       Credit Herbology Hub and our content appropriately where you reference or share ideas from our sessions in other contexts, in accordance with Section 8 of these Terms.

Conduct we will not tolerate

The following conduct is not acceptable within our community and may result in the suspension or termination of your membership:

       Harassment, intimidation, bullying, or threatening behaviour directed at any member, guest, or representative of Herbology Hub.

       Discriminatory language or conduct based on gender, age, race, ethnicity, nationality, religion, disability, sexual orientation, or any other personal characteristic.

       Persistent or deliberate disruption of live webinar sessions or Q&A discussions.

       Sharing misinformation about plant cultivation, herbal medicine, or health in a way that could mislead or cause harm to other members.

       Promotion of products, services, or commercial interests within the membership platform without our prior written consent.

       Soliciting other members for commercial purposes, including promoting your own products, services, or competing educational offerings within our platform.

       Any conduct that undermines the integrity, safety, or collegial spirit of the learning community.

Moderation

We reserve the right to moderate all community interactions within our platform. This includes removing content that breaches these community standards, issuing warnings to members whose conduct falls below the standards expected, and suspending or terminating memberships where serious or repeated breaches occur.

Where moderation action is taken, we will endeavour to act reasonably, consistently, and transparently. Where a membership is suspended or terminated on the basis of conduct, we will notify the member of the reason. Serious breaches may result in immediate termination without prior warning.

Sharing misinformation

Because our membership community includes people making real decisions about growing medicinal plants for personal and sometimes clinical use, the sharing of inaccurate or misleading information carries genuine risk. We take this seriously. Members who repeatedly share information that is demonstrably incorrect or potentially harmful, particularly in relation to plant identification, medicinal applications, or safe growing practices, may have their platform participation restricted or their membership terminated, at our reasonable discretion.

Reporting concerns

If you experience or witness conduct within our community that you believe breaches these standards, we encourage you to report it to us promptly at [email protected]. We will treat all reports seriously, investigate them in good faith, and respond within a reasonable timeframe. We will not tolerate any retaliation against a member who raises a genuine concern in good faith.

Our commitment to you

We are committed to maintaining a learning environment that is safe, respectful, and genuinely useful for every member. We will apply these community standards consistently and fairly, and we will always endeavour to act in the best interests of the membership community as a whole.

Nothing in this section limits your rights under Australian Consumer Law.

SECTION 15 - SEVERABILITY AND WAIVER

Severability

If any provision of these Terms of Service is found to be unlawful, void, or unenforceable under applicable Australian law, that provision will be read down to the minimum extent necessary to make it enforceable, or if it cannot be read down, it will be severed from these Terms of Service. The severance of any provision will not affect the validity or enforceability of the remaining provisions, which will continue in full force and effect.

Where a provision is severed or read down, the parties agree that the remaining Terms of Service should be interpreted in a manner that gives effect to the original intent of the parties as closely as possible, consistent with applicable law.

Waiver

The failure of Herbology Hub to exercise or enforce any right or provision of these Terms of Service at any time does not constitute a waiver of that right or provision. Any waiver of a right or provision must be made expressly and in writing by an authorised representative of Herbology Hub to be effective.

A waiver of any particular breach of these Terms does not constitute a waiver of any subsequent breach of the same or any other provision. Our rights under these Terms of Service remain fully reserved unless expressly waived in writing.

Continued availability of remedies

Nothing in this section limits or affects any right or remedy available to either party under Australian Consumer Law or any other applicable Australian legislation.

SECTION 16 - SUSPENSION, TERMINATION AND CONSEQUENCES

Termination by you

You may terminate your membership and your agreement with us under these Terms of Service at any time by cancelling your subscription through your account settings or by contacting us at [email protected]. Cancellation instructions and the consequences of cancellation, including your continued access to content until the end of your current billing period, are set out in Section 7 of these Terms.

Terminating your membership does not release you from any obligations or liabilities that arose prior to the date of termination, including any outstanding payment obligations.

Termination by us

We reserve the right to suspend or terminate your membership and your access to our services at any time, with or without prior notice, where:

       You have breached any provision of these Terms of Service, including but not limited to the prohibited uses set out in Section 12 or the community standards set out in Section 14.

       You have provided false, misleading, or fraudulent information in connection with your account or any transaction with us.

       Your conduct within our community is determined by us, acting reasonably, to be harmful, disruptive, or contrary to the best interests of the membership community.

       We are required to do so by law, a court order, or regulatory authority.

       Continued provision of services to you would, in our reasonable judgement, expose Herbology Hub or its members to legal, reputational, or operational risk.

Notice of termination

Where we suspend or terminate your membership for reasons other than an immediate and serious breach, we will make reasonable efforts to provide you with prior notice and an opportunity to address the issue before termination takes effect. Where a serious or urgent breach has occurred, we reserve the right to suspend or terminate your access immediately and without prior notice.

In all cases of termination by us, we will notify you of the reason for termination within a reasonable timeframe following the decision, except where we are prevented from doing so by legal or regulatory requirements.

Consequences of termination

Upon termination of your membership, whether by you or by us:

       Your right to access our membership platform, content, webinars, courses, and all associated services will cease immediately upon termination or at the end of your current billing period, as applicable under Section 7.

       Any licence granted to you under Section 8 to access and use our educational content will be revoked.

       You must immediately cease any use of our content, platform, and intellectual property.

       Any provisions of these Terms of Service that by their nature should survive termination will do so, including but not limited to Sections 8, 10, 13, 15, 17, and 18.

Refunds on termination

Where your membership is terminated by us for reasons other than a breach on your part, you will be entitled to a pro-rata refund for the unused portion of your current billing period, consistent with Section 7 of these Terms and your rights under Australian Consumer Law.

Where your membership is terminated due to a breach of these Terms of Service, no refund will be provided for the remaining billing period, except where required by Australian Consumer Law.

Suspension

In circumstances where we consider it necessary to investigate a potential breach of these Terms before making a final determination, we reserve the right to suspend your access to our platform and services on a temporary basis pending the outcome of that investigation. We will conduct any such investigation promptly and in good faith, and will notify you of the outcome within a reasonable timeframe.

During a period of suspension, your subscription billing may continue depending on the circumstances and the outcome of the investigation. Where a suspension results in termination, refund entitlements will be assessed in accordance with this section and Australian Consumer Law.

Survival of obligations

The termination of these Terms of Service, for any reason, does not affect any rights, obligations, or liabilities of either party that accrued before the date of termination. All provisions of these Terms of Service that are intended by their nature to survive termination will remain in full force and effect following termination.

Nothing in this section limits your rights under Australian Consumer Law.

SECTION 17 - ENTIRE AGREEMENT AND RELATIONSHIP BETWEEN PARTIES

Entire agreement

These Terms of Service, together with our Privacy Policy, Refund and Cancellation Policy, and any other policies or notices published on our website or communicated to you at the point of purchase, constitute the entire agreement between you and Herbology Hub with respect to your use of our website and membership services. They supersede all prior agreements, communications, representations, and understandings between you and us, whether oral or written, relating to the same subject matter.

In the event of any inconsistency between these Terms of Service and any other document or communication, these Terms of Service will prevail unless the inconsistency relates to a specific offer, promotion, or purchase agreement that expressly states otherwise.

No waiver

The failure of Herbology Hub to exercise or enforce any right or provision of these Terms of Service on any particular occasion does not constitute a waiver of that right or provision. Our rights under these Terms of Service remain fully reserved unless expressly waived in writing by an authorised representative of Herbology Hub, as set out in Section 15.

No partnership or agency

Nothing in these Terms of Service creates, implies, or should be construed as creating a partnership, joint venture, employment relationship, franchise, or agency relationship between you and Herbology Hub. You are an independent individual engaging with our educational membership services on the terms set out in this agreement. You have no authority to bind Herbology Hub to any obligation or commitment, and you must not represent yourself as acting on behalf of Herbology Hub in any capacity.

No assignment

You may not assign, transfer, or sub-licence any of your rights or obligations under these Terms of Service to any other person without our prior written consent. Any purported assignment without our consent will be of no effect.

Herbology Hub may assign or transfer its rights and obligations under these Terms of Service to a successor entity in the event of a business sale, merger, restructure, or acquisition. In such circumstances, we will make reasonable efforts to notify members of any material change to the delivery of services that may result from such a transfer.

Relationship with Magnify Hub

Our membership platform is delivered through Magnify Hub. Your use of our services may also be subject to Magnify Hub's own terms of service and policies, which operate independently of and in addition to these Terms. Where any conflict arises between Magnify Hub's terms and these Terms of Service with respect to the educational content and services delivered by Herbology Hub, these Terms of Service will govern to the extent of that conflict as it relates to our obligations to you.

Amendments

We reserve the right to amend these Terms of Service at any time by posting the updated version on our website. Where amendments are material, we will make reasonable efforts to notify members via email to the address associated with your account, with reasonable notice before the changes take effect. Your continued use of our services following the effective date of any amendment constitutes your acceptance of the updated Terms.

If you do not agree to any amended Terms of Service, you may cancel your membership before the amended Terms take effect, in accordance with Section 7 of these Terms.

Interpretation

These Terms of Service are to be interpreted in accordance with their plain meaning. Any ambiguity in the interpretation of these Terms of Service will not be construed against either party solely on the basis that they drafted or did not draft the relevant provision. Headings are included for convenience only and do not affect the interpretation of these Terms.

Acknowledgement

By accessing our website, creating an account, or purchasing a membership, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service in their entirety. If you do not agree to these Terms, you must not access our website or use our services.

SECTION 18 - GOVERNING LAW AND DISPUTE RESOLUTION

Governing law

These Terms of Service and any separate agreements whereby we provide you services are governed by and construed in accordance with the laws of the State of New South Wales, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of New South Wales and the federal courts of Australia in respect of any dispute arising out of or in connection with these Terms of Service or your use of our services.

Australian Consumer Law

These Terms of Service are subject to the Australian Consumer Law, which forms Schedule 2 of the Competition and Consumer Act 2010 (Cth), and any other applicable Australian federal or state legislation. Nothing in these Terms of Service excludes, restricts, or modifies any right, remedy, guarantee, or liability that you have under Australian Consumer Law or any other applicable legislation that cannot lawfully be excluded or limited.

Dispute resolution

We are committed to resolving any concerns or disputes that arise in connection with your membership or our services in a fair, timely, and good-faith manner. Before initiating any formal legal proceedings, we ask that you contact us in the first instance to give us the opportunity to resolve the matter directly.

The process we ask you to follow is:

1.    Contact us in writing at [email protected], describing the nature of your concern or dispute in as much detail as possible and the outcome you are seeking.

2.    We will acknowledge your contact within five business days and will work with you in good faith to reach a resolution within 20 business days of receiving your initial contact, or such longer period as may be agreed between the parties.

3.    If the dispute cannot be resolved through direct communication within the timeframe set out above, either party may refer the matter to an independent mediator agreed upon by both parties, with the costs of mediation to be shared equally unless otherwise agreed.

4.    If mediation is unsuccessful or either party declines to participate in mediation, either party may then pursue resolution through the courts of New South Wales or through any applicable consumer dispute resolution body, including NSW Fair Trading or the Australian Competition and Consumer Commission (ACCC).

Consumer complaints

If you have a complaint about our services that we have been unable to resolve to your satisfaction, you may contact the following bodies:

       NSW Fair Trading at www.fairtrading.nsw.gov.au, which handles complaints about businesses operating in New South Wales.

       The Australian Competition and Consumer Commission (ACCC) at www.accc.gov.au, which handles complaints relating to breaches of the Australian Consumer Law.

       The Office of the Australian Information Commissioner (OAIC) at www.oaic.gov.au, for complaints relating specifically to the handling of your personal information.

Online dispute resolution

Where a dispute relates to a transaction conducted entirely online, we are committed to engaging constructively with any online dispute resolution process that may be available and appropriate to the circumstances.

Limitation on claims

Subject to your rights under Australian Consumer Law, any claim arising out of or in connection with these Terms of Service or your use of our services must be brought within three years of the date on which the relevant cause of action arose, or such other limitation period as is prescribed by applicable Australian law.

Location of proceedings

To the extent that any dispute proceeds to formal legal proceedings, those proceedings will be conducted in New South Wales, Australia. If you are located outside of New South Wales, you acknowledge and agree that you are contracting with an Australian business operating under Australian law, and you agree to the jurisdiction of the New South Wales courts for the resolution of any dispute.

SECTION 19 - CHANGES TO TERMS OF SERVICE

Our right to update these Terms

We reserve the right to update, amend, or replace any part of these Terms of Service at any time, at our sole discretion. Changes may be made to reflect updates to our services, changes in applicable Australian law or regulation, feedback from our membership community, or improvements to the clarity and fairness of these Terms.

The most current version of these Terms of Service will always be available on our website at the Terms of Service page. The date on which these Terms were last updated will be clearly displayed at the top of the document so that you can identify whether changes have been made since you last reviewed them.

How we will notify you of changes

We are committed to communicating changes to these Terms in a transparent and timely manner. The way we notify you will depend on the nature and significance of the change:

For material changes, being changes that significantly affect your rights, obligations, or the nature of the services we provide, we will notify you by email to the address associated with your membership account. We will provide a minimum of 14 days notice before material changes take effect, giving you time to review the updated Terms and decide whether you wish to continue your membership on the new terms.

For minor changes, being changes that do not materially affect your rights or obligations, such as corrections to typographical errors, clarifications of existing provisions, or updates to contact details or external links, we will update the Terms on our website without direct notification. We encourage you to review these Terms periodically to stay informed of any such updates.

Your acceptance of updated Terms

Your continued use of our website or membership services following the effective date of any update to these Terms of Service constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must notify us at [email protected] and cancel your membership before the updated Terms take effect, in accordance with the cancellation process set out in Section 7.

We will never apply updated Terms retroactively in a manner that reduces your existing rights or increases your existing obligations without your express consent, except where we are required to do so by law.

Your right to cancel on updated Terms

If we make a material change to these Terms that you do not agree with, you have the right to cancel your membership before the updated Terms take effect. Where you cancel your membership in response to a material change to these Terms, you will be entitled to a pro-rata refund for any unused portion of a prepaid annual membership period, consistent with Section 7 of these Terms and your rights under Australian Consumer Law. No pro-rata refund applies to monthly memberships cancelled in response to a Terms update, as your access continues until the end of your current billing period.

Version history

We recommend that you save or print a copy of these Terms of Service each time you review them, particularly following any update, for your own records. While we maintain the current version of these Terms on our website at all times, we do not guarantee ongoing access to prior versions.

Regulatory changes

From time to time, changes to Australian law or regulation may require us to update these Terms of Service on short notice or with immediate effect. Where this occurs, we will notify you as promptly as practicable and will make every reasonable effort to minimise any disruption to your membership experience.
